A practical roadmap for founders: distinguish company incorporation from the approvals, documents and controls needed to begin operating in Egypt.
Start with the activity, not the form
Before selecting a legal form, write down what the business will actually do, who will own it, where it will operate and whether its customers, products or premises trigger sector requirements. These facts shape the formation documents and the next procedural steps.
A founder can otherwise receive a company file that is formally complete but does not yet answer a practical question: what must be in place before this specific activity starts? The answer should be recorded as a sequence of responsibilities, documents and approvals.
Separate incorporation from permission to operate
GAFI provides incorporation and post-incorporation services. That company pathway does not make every business activity immediately operational. Some activities require additional registrations, premises approvals or sector-specific permissions. An industrial project, for example, may have a separate licensing and industrial-register pathway through the Industrial Development Authority.
The formation plan should therefore identify each competent authority by activity. It should also record dependencies: which application can begin now, which depends on a site or technical file, and which belongs after the corporate documents are issued.
Prepare the first operating file
Once formed, the company should map its immediate workstreams: tax and banking arrangements, authority filings that apply, founder and commercial agreements, employment documents, brand protection and customer-facing terms where relevant. This is a prioritization exercise, not a generic checklist that every company must complete in the same order.
A useful handover includes the documents obtained, what they prove, outstanding actions, who owns each action and any condition that affects the start of operations. Management can then make the launch decision against a visible file rather than an assumption.
What to ask before engaging counsel
Give your adviser the planned activity in ordinary language, ownership and nationality, expected location, premises status, capital plan and intended launch date. Ask for a written scope distinguishing incorporation work from licensing, post-formation work and recurring support. This makes cost and timing discussions more reliable.
Questions we often hear
Does a commercial registration alone mean the business may begin operating?
It establishes a registered company status, but activity-specific permissions may still apply. Review the activity and premises before commencing operations.
Can licensing be priced before the activity and location are known?
A reliable scope usually needs the exact activity, site and competent authority. Those facts determine the procedure and documents.
