Outsourced legal department in Egypt: how should a company define the scope?

The value of ongoing counsel comes from a workable operating model: priorities, ownership, response channels and clear boundaries.

ALFARID / READING ROOM

A practical guide to setting the scope, approvals, reporting and exclusions for an external legal department serving a growing company in Egypt.

01

Measure the real legal workload

List the matters the company handled in the past few months and the decisions expected next. Separate repeat work—contracts, corporate records, employment questions and routine regulatory issues—from exceptional transactions or disputes. Identify who currently receives requests and where decisions stall.

The goal is not to purchase a vague promise of unlimited legal support. It is to build coverage around demand, risk and management capacity.

02

Specify the service lanes

A legal department scope can combine corporate governance, commercial agreements, employment advice, authority-facing matters, early dispute assessment and intellectual property. The mix depends on the sector and the team's existing capabilities.

For each lane, identify deliverables and boundaries. Will counsel draft a contract, negotiate it, track the signature process or simply review a final version? Will a contentious matter receive an initial strategy only, or court representation under a separately agreed mandate? These distinctions belong in the engagement document.

03

Design the day-to-day operating model

Agree how requests arrive, who can instruct counsel, who approves a recommendation and how urgent matters are escalated. A shared matter list, agreed response priorities and a short management report make the service visible and accountable.

The operating rhythm should be proportionate: a fast-growing business may need regular management meetings, while a smaller company may need a lighter monthly review. Record confidentiality and document-handling arrangements alongside the workflow.

04

Review and adjust the scope

After an initial operating period, compare the actual workload with the assumptions used to price and staff the service. Add or remove workstreams deliberately. A sound subscription evolves with the company instead of quietly absorbing exceptional assignments.

Questions we often hear

Does an external legal department include every court case?

No universal rule applies. The engagement should state whether litigation strategy, coordination and representation are included, limited or separately instructed.

Can it work with an internal legal team?

Yes. Define ownership and escalation so internal colleagues and external counsel operate through one clear request and approval process.

This article is general information. The route for a particular matter depends on its facts, documents and applicable requirements.
